Terms of Service.
Welcome to MedMasters Collaborative. These Terms of Service ("Terms") form a binding agreement between you and MedMasters Collaborative LLC ("MedMasters," "we," "us," or "our"). They govern your access to and use of our website, coaching services, AI hub tool, and any associated products or content (collectively, the "Services").
By accessing the website, creating an account, registering for a session, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
About MedMasters
MedMasters Collaborative LLC is a California limited liability company offering coaching, consulting, and AI-assisted tooling for medical and health science faculty who want to build active learning materials using the Team-Based Learning (TBL) methodology. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Services. The Services are designed for current or prospective faculty in medical, health science, or related educational programs. By registering, you represent that the information you provide is accurate, current, and complete.
Account and communications
Some Services require you to provide your name, professional email address, and other information. You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential.
By providing your email address, you consent to receive transactional communications related to the Services you have purchased. You may also opt in to receive marketing emails, which you can unsubscribe from at any time using the link included in any marketing email.
Description of services
We offer several tiers of Service. Specific terms, prices, and inclusions are described on our website at the time of purchase. The principal offerings are:
- Project Lab. A scheduled 90-minute live session, conducted virtually, in which we work alongside you to build a single Team-Based Learning module from content and learning objectives you provide.
- Project Sprint. A 30-day program including weekly group coaching calls and the build of one TBL module with peer review and template access.
- Annual Member. A 12-month program including 10 monthly module-build cycles, ongoing coaching access, and complete program tooling.
We reserve the right to modify the scope, price, format, or availability of any Service at any time. If you have already paid for a Service, we will deliver materially what was sold or offer you a refund.
Pricing and payment
5.1 Pricing
Prices for each Service are listed on our website. Prices may change at any time, but changes will not affect Services you have already purchased.
5.2 Payment
Payment is due at the time of purchase unless otherwise specified. We process payments through third-party payment processors. By providing payment information, you authorize us to charge the applicable fees through those processors.
5.3 Refunds
Project Lab sessions are refundable up to 48 hours before the scheduled session start time. After that, no refunds will be issued, but you may reschedule once at no charge. Project Sprint and Annual Member programs are refundable within 7 days of purchase, provided the program has not yet begun. Once a program has begun, no refunds will be issued.
5.4 Founding cohort pricing
Founding Cohort pricing is locked in for as long as the program remains continuously active for that customer. Lapses or cancellations may result in loss of founding pricing on re-enrollment.
Intellectual property
6.1 Your content
You retain all rights to the course content, learning objectives, syllabi, lecture notes, and other materials you bring to the Services ("Your Content"). You grant us a limited, non-exclusive, royalty-free license to use Your Content solely as necessary to deliver the Services to you, including processing it through our AI hub tool to generate the artifacts you have purchased.
6.2 Artifacts you build
The deployable HTML artifacts, accessible companion documents, and source files we build together using Your Content ("Artifacts") belong to you. You may use Artifacts in your courses, share them with your students, adapt them, and include them in your accreditation portfolio.
6.3 Our methodology and platform
The MedMasters methodology, prompt templates, AI hub tool, design system, brand, software, and any underlying templates ("Our Materials") remain our exclusive property. Nothing in these Terms grants you any rights to Our Materials except as needed to use the Artifacts you have purchased.
6.4 Trademarks
"MedMasters Collaborative" and the MedMasters logo are our trademarks. You may not use them without our prior written consent.
AI-generated content
The Services use generative AI to assist in the creation of Artifacts. AI-generated content may contain inaccuracies, omissions, or errors. We do not guarantee that any Artifact is free from such errors. You are responsible for reviewing all Artifacts for accuracy, pedagogical soundness, and fitness for your course before deploying them with students. You agree not to deploy any Artifact without first reviewing it for accuracy.
Acceptable use
You agree not to:
- Resell, sublicense, or commercially exploit the Services or Our Materials.
- Use the Services to generate content that is unlawful, defamatory, harassing, infringing, or that violates the rights of any third party.
- Reverse-engineer, scrape, or attempt to extract Our Materials or the underlying systems behind the Services.
- Use the Services on behalf of a third party without our prior written consent.
No medical advice
The Services and the Artifacts are educational tools for the purpose of teaching medical and health science content. Nothing in the Services or Artifacts constitutes medical advice, diagnosis, or treatment. We are not responsible for any clinical decisions made based on educational content created using the Services.
No guarantee of institutional acceptance
We do not guarantee that any Artifact will be accepted by your institution, accreditation body, course committee, or other governing authority. Institutional approval is your responsibility. Our Services are commercially reasonable best-effort engagements, not guaranteed outcomes.
Disclaimers
The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Services will be uninterrupted or error-free. We do not warrant that the Artifacts will achieve any specific learning outcome or student engagement result.
Limitation of liability
To the maximum extent permitted by law, our total cumulative liability arising out of or relating to these Terms or your use of the Services will not exceed the amount you paid us in the 12 months preceding the event giving rise to the liability. In no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, or reputation, even if we have been advised of the possibility of such damages.
Indemnification
You agree to indemnify and hold harmless MedMasters Collaborative LLC, its principals, employees, and agents from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party right.
Termination
We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms. You may stop using the Services at any time. Sections that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and these survival terms) will survive.
Force majeure
We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, internet outages, third-party service failures, public health emergencies, war, or governmental actions.
Governing law and dispute resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in [YOUR COUNTY], California, and you consent to the personal jurisdiction of those courts.
Miscellaneous
Entire agreement. These Terms, together with any policies referenced here (including our Privacy Policy), constitute the entire agreement between you and us regarding the Services and supersede any prior agreements.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
